Welcome to Stander Studios. By accessing our services or engaging us for project work, you agree to comply with and be bound by the following Terms and Conditions.

1. Services Provided Stander Studios offers digital services including, but not limited to, website development, website maintenance, social media management, and digital marketing strategy (collectively, the "Services"). The specific scope, deliverables, timeline, and pricing for any project will be detailed in a separate Statement of Work (SOW), Proposal, or Service Agreement signed by both parties.

2. Client Obligations To ensure timely project execution, you agree to:

  • Provide required assets, content, brand guidelines, and account access in a timely manner.

  • Assign a primary contact person with authority to review and approve project milestones.

  • Supply clear, consolidated feedback during review rounds. Delays in providing materials or approvals may shift project deadlines.

3. Payment & Billing Terms

  • Deposits, Retainers & Milestones: Payment structures—including required deposits, milestone payments, or monthly retainers—will be clearly defined in your client contract, Proposal, or Statement of Work (SOW). Work on any project or campaign will begin only after the contract is signed and the required initial payment or deposit has been received.

  • Invoicing: Invoices are due upon receipt or within the timeframe specified on the invoice.

  • Late Payments: Overdue balances may incur a late payment penalty or lead to temporary suspension of active services, website launches, or campaign management.

4. Intellectual Property & Ownership

  • Client Materials: You retain full ownership of all logos, images, text, and trade data supplied to us.

  • Hosting & Developed Sites: Stander Studios provides custom website development and hosting as a fully managed service. We maintain, secure, and host the operational website infrastructure on your behalf. To preserve server security, code integrity, and optimal performance, Stander Studios retains exclusive administrative and backend server access. Passwords, server credentials, raw website code, themes, and underlying database files are not provided to clients and remain hosted under Stander Studios infrastructure, unless explicitly agreed upon in a custom contract.

  • Pre-Existing IP & Tools: Stander Studios retains ownership over core development frameworks, proprietary tools, third-party plugin licenses, and preliminary design concepts not selected for final production.

  • Portfolio Rights: Stander Studios reserves the right to showcase completed work, designs, and performance results in our portfolio and marketing materials, unless a Non-Disclosure Agreement (NDA) states otherwise.

5. Revisions & Scope Changes Each project includes a specific number of revision rounds outlined in your proposal. Additional revisions, out-of-scope feature requests, or major design adjustments requested after approval will be billed at our standard hourly rate.

6. Third-Party Tools & Hosting Services Website development and marketing campaigns often rely on third-party services (e.g., hosting providers, domain registrars, advertising platforms, plugin developers, API integrations). Stander Studios is not liable for service outages, platform policy changes, billing disputes, or price adjustments enforced by these third-party providers.

7. Warranties & Limitation of Liability

  • Websites: We provide a 30-day bug-fix warranty post-launch to address operational defects. We do not warrant that third-party plugins or external code will remain functional indefinitely without ongoing maintenance.

  • Marketing: While we design strategies to optimize reach and conversions, Stander Studios does not guarantee specific revenue targets, lead counts, or platform algorithm outcomes.

  • Liability Cap: To the maximum extent permitted by law, Stander Studios shall not be held liable for indirect, incidental, or consequential damages (including loss of profits or business interruption). Our total liability shall not exceed the total fees paid by you for the specific project or service in question.

8. Termination Either party may terminate a project or retainer agreement by providing 30 days' written notice. Any applicable termination fees, non-refundable deposits, or cancellation terms will depend on your specific project and the terms outlined in your signed contract. In the event of early termination, you will be invoiced for all work completed up to the final termination date, along with any applicable cancellation fees defined in your agreement.

9. Governing Law These Terms and Conditions are governed by and construed in accordance with the laws of the jurisdiction in which Stander Studios operates.
